Terms of Service

These Terms of Service ("Terms") apply to your use of the Dime Ads Client Dashboard (the "Dashboard"). By creating an account or using the Dashboard, you agree to these Terms. If you use the Dashboard on behalf of a business, you confirm that you are authorised to accept these Terms for that business, and "you" includes the business.

Our Privacy Policy explains how we handle personal information in the Dashboard and forms part of these Terms.

The Dashboard is provided by 1000439010 Ontario Inc., operating as Dimeads ("we", "us"), of 9688 Leslie St, Unit 5, Richmond Hill, Ontario L4B 4C4, Canada.

The Dashboard is a private portal for clients of Dimeads. It lets you view reports about the website, search, analytics and advertising services we provide to you, and send requests to our team.

The Dashboard supports the services described in your separate agreement, proposal or statement of work with Dimeads (your "Service Agreement"). The Dashboard is provided as part of those services at no additional charge. If these Terms conflict with your Service Agreement, the Service Agreement prevails.

• Accounts are created by invitation only. Invitations are personal and must not be forwarded.
• Keep your password confidential and do not share your account. Each person should have their own login.
• You are responsible for activity under your account and for keeping its details accurate.
• Tell us promptly at info@dimeads.com if you believe someone has accessed your account without permission, or if a person who should no longer have access (for example, a former employee) still has an account.

When using the Dashboard, you agree not to:

• try to access another client's information, or any part of the Dashboard you were not given access to;
• probe, scan or test the Dashboard's security, or bypass any access control or rate limit;
• copy, scrape or extract data from the Dashboard by automated means;
• reverse engineer, decompile or attempt to obtain the Dashboard's source code;
• upload or send content that is unlawful, infringing, harmful, or that contains malware;
• send passwords, payment card numbers or other highly sensitive information through requests;
• use the Dashboard in a way that could damage, overload or interfere with it or with other users.

If you find a security issue, please report it to info@dimeads.com rather than testing it further.

You can use the Dashboard to send requests to our team. A request is a way to tell us what you need; it is not an order or a change to your Service Agreement. We will review each request and let you know its status. Whether a request is included in your services, its timeline and any additional fees are governed by your Service Agreement or agreed with you separately.

For anything urgent, please contact your account manager directly as well.

You keep all rights to the information and content you provide to us, and to the data about your own business, website and advertising accounts. You give us permission to use it only to provide the Dashboard and our services to you, as described in our Privacy Policy.

You confirm that you have the rights needed to share the content you send us, and that it does not infringe anyone else's rights.

Reports in the Dashboard are based on data from third-party services such as Google Search Console, Google Analytics, Google Ads and Google PageSpeed Insights. That data may be delayed, sampled, estimated or later revised by its provider, and figures may differ from what you see in those services directly.

Reports are provided for information. They are not a guarantee of rankings, traffic, leads, sales or any other result, and they are not legal, financial or tax advice. Please check important figures with us before relying on them for business decisions.

The Dashboard relies on services operated by others, including Google and our hosting and email providers. Your use of Google services is also subject to Google's own terms. We are not responsible for third-party services, including when they are unavailable or change how they work, but we will tell you if a change materially affects the Dashboard.

The Dashboard, including its software, design, text and the Dimeads name and logo, belongs to us or our licensors. We give you a limited, non-exclusive, non-transferable right to use the Dashboard for your own business while your account is active and you follow these Terms. Nothing in these Terms transfers ownership of the Dashboard to you. If you send us feedback or suggestions, we may use them without any obligation to you.

We work to keep the Dashboard available and secure, but we do not promise that it will always be available, uninterrupted or error-free. We may carry out maintenance, and we may add, change or remove features at any time. If we remove a feature that is part of your Service Agreement, we will tell you in advance where reasonably possible.

We may suspend or close an account, or limit access, if we reasonably believe it is being misused, puts the Dashboard or other clients at risk, or breaks these Terms, or if required by law. Where appropriate, we will tell you why.

Access normally ends when your Service Agreement ends, or when you or your business asks us to close an account. You can ask us to delete your account at any time by emailing info@dimeads.com. Sections that by their nature should continue after access ends (including sections 7, 10 and 13 to 16) will continue.

To the extent permitted by law, the Dashboard is provided "as is" and "as available", without warranties or conditions of any kind, whether express or implied, including any implied warranties or conditions of merchantable quality, fitness for a particular purpose or non-infringement. This does not limit any warranty given in your Service Agreement.

To the extent permitted by law:

• we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities, arising from your use of the Dashboard;
• our total liability for all claims relating to the Dashboard is limited to the fees you paid to Dimeads for our services in the 12 months before the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited by law. If your Service Agreement contains a different limitation of liability, that limitation applies instead.

You agree to compensate us for reasonable losses and costs (including reasonable legal fees) caused by a third party claim arising from your breach of these Terms or from content you provide that infringes someone else's rights.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. You and we agree to the exclusive jurisdiction of the courts of Ontario, sitting in Toronto, unless your Service Agreement says otherwise.

We may update these Terms from time to time and will show the new date at the top of this page. If a change is material, we will tell you by email or in the Dashboard before it takes effect. If you continue to use the Dashboard after the change takes effect, you accept the updated Terms.

If any part of these Terms is found unenforceable, the rest remains in effect. If we do not enforce a right straight away, we do not give it up. You may not transfer your rights under these Terms without our written consent. These Terms, the Privacy Policy and your Service Agreement are the entire agreement between us about the Dashboard.
